These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of the Addis Design website, mobile application, online store, products, services, ordering systems, communications, and related features.

Addis Design is operated by or in association with AddisSolutions LLC. Throughout these Terms, the words “Addis Design,” “AddisDesign,” “AddisDesign.com,” “AddisSolutions LLC,” “we,” “us,” and “our” may collectively refer to AddisSolutions LLC, Addis Design, their owners, officers, employees, contractors, affiliates, service providers, and authorized representatives, as applicable.

By accessing our website or application, creating an account, selecting a product, submitting an order, making a payment, checking a Terms acceptance box, or otherwise using our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not use the website, application, ordering system, or services.

1. ABOUT ADDIS DESIGN

Addis Design is a cultural design and e-commerce platform offering products that may include, but are not limited to:

• Amharic and Ge’ez-inspired designs

• Cultural home décor

• Personalized artwork

• Printed products

• Framed artwork

• Canvas products

• Acrylic or metal artwork

• Tumblers

• Cultural gifts

• Apparel

• Books

• Handmade or specialty products

• Custom-designed products

• Products supplied by independent artists, manufacturers, printers, fulfillment partners, or other third parties

Product availability may change at any time.

We reserve the right to add, modify, replace, suspend, or discontinue any product or service without prior notice.

2. ACCEPTANCE OF TERMS

By using AddisDesign.com, the Addis Design application, or any associated ordering system, you agree to these Terms.

You may be required to affirmatively accept these Terms during checkout by selecting a checkbox or similar electronic acknowledgment.

Your electronic acceptance has the same intended contractual effect as signing a written agreement, to the extent permitted by applicable law.

You should save or print a copy of these Terms for your records.

3. AGE AND AUTHORITY TO PURCHASE

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order unless a parent or legal guardian completes the transaction on your behalf.

By placing an order, you represent that:

• you are legally able to enter into a binding agreement;

• all information you provide is accurate and complete;

• you are authorized to use the payment method submitted;

• you have authority to approve any customization or content submitted with the order.

We may cancel or reject orders if we reasonably believe these requirements have not been satisfied.

4. PRODUCT INFORMATION

We make reasonable efforts to provide accurate product:

• photographs;

• colors;

• specifications;

• materials;

• availability;

• shipping estimates.

However, product information may occasionally contain errors, omissions, differences, or inaccuracies.

We reserve the right to correct such information at any time.

An error displayed on the website or application does not obligate Addis Design or AddisSolutions LLC to fulfill an order at an incorrect price, quantity, size, description, or specification.

5. PRODUCT COLORS AND VISUAL DIFFERENCES

Customers acknowledge that photographs and digital previews are representations of physical products.

Colors may appear differently depending on:

• monitor calibration;

• phone or tablet displays;

• screen brightness;

• lighting;

• printing equipment;

• printing materials;

• canvas texture;

• framing;

• acrylic or metal surfaces;

• ink;

• production processes.

Minor color, texture, cropping, positioning, sizing, print, or finishing variations are normal and are not considered defects.

Such variations do not qualify an order for refund, cancellation, exchange, or charge reversal.

6. WALL ART — ALL SALES FINAL

IMPORTANT FINAL SALE POLICY

ALL WALL ART SALES ARE FINAL.

By purchasing wall art from Addis Design, you expressly understand and agree that:

Wall art products are NON-REFUNDABLE, NON-RETURNABLE, and NON-EXCHANGEABLE after an order has been submitted and accepted, except where otherwise expressly required by applicable law.

This policy applies to wall art orders placed through:

• AddisDesign.com;

• the Addis Design mobile application;

• any Addis Design checkout system;

• an embedded website ordering system;

• a payment link provided by Addis Design;

• an authorized Addis Design representative;

• any future Addis Design digital ordering platform.

Once your wall art order is submitted, the order is considered a final order.

7. NON-REFUNDABLE ONLINE AND APP ORDERS

Orders submitted through the Addis Design website or mobile application are considered confirmed orders once the order submission and applicable payment process have been completed.

Unless required otherwise by applicable law:

ALL WALL ART ORDERS SUBMITTED THROUGH THE WEBSITE OR MOBILE APPLICATION ARE NON-REFUNDABLE.

Customers should carefully review their:

• selected artwork;

• image;

• product;

• dimensions;

• material;

• frame;

• personalization;

• quantity;

• shipping address;

• billing information;

• name;

• phone number;

• email address;

before clicking Submit, Place Order, Purchase, Pay, or any similar checkout button.

Once submitted, an order may immediately enter production or fulfillment.

Because of this, we cannot guarantee cancellations or changes after submission.

8. ORDER REVIEW RESPONSIBILITY

Where Addis Design provides a review screen before final submission, the customer is responsible for carefully reviewing all information.

By approving the order review and submitting the purchase, the customer confirms that the order information is correct.

Addis Design and AddisSolutions LLC are not responsible for mistakes submitted or approved by customers, including:

• incorrect names;

• misspellings;

• incorrect dates;

• incorrect shipping addresses;

• incorrect artwork selections;

• incorrect sizes;

• incorrect quantities;

• incorrect personalization;

• incorrect phone numbers;

• incorrect email addresses.

9. CUSTOM AND PERSONALIZED PRODUCTS

Custom and personalized products are specially created based on customer instructions.

Unless required otherwise by applicable law:

All personalized and custom products are final sale and non-refundable.

This includes products containing:

• names;

• dates;

• Amharic text;

• Ge’ez text;

• personal messages;

• family names;

• wedding information;

• memorial information;

• religious verses;

• uploaded photographs;

• submitted artwork;

• requested colors;

• custom dimensions;

• custom designs.

Customers are responsible for checking spelling, language, dates, images, and personalization details before submitting the order.

Addis Design is not responsible for errors entered, uploaded, reviewed, or approved by the customer.

10. CHANGES AND CANCELLATIONS

Because products may enter production shortly after purchase, orders generally cannot be changed or canceled after submission.

You may contact Addis Design immediately after placing an order to request a modification.

However:

Submitting a modification or cancellation request does not guarantee that the order can be changed or canceled.

If production, printing, fulfillment, customization, packaging, or shipping has already begun, the order will remain final.

11. DAMAGED OR INCORRECT PRODUCTS

Our final-sale policy does not mean that Addis Design intentionally leaves customers without assistance when a verified fulfillment error occurs.

If you receive a product that is materially damaged during delivery or materially different from the product you ordered due to an error attributable to Addis Design or its fulfillment provider, contact us promptly.

We may request:

• photographs of the product;

• photographs of the packaging;

• shipping labels;

• order number;

• description of the problem;

• additional supporting information.

Customers should report shipping damage within 48 hours of confirmed delivery, whenever reasonably possible.

Failure to report visible damage promptly may limit our ability to verify a shipping claim.

After reviewing the circumstances, Addis Design may, at its discretion and subject to applicable law:

• replace the damaged product;

• reproduce the product;

• issue store credit;

• provide another reasonable resolution.

A replacement or corrective remedy does not automatically entitle the customer to a cash refund.

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection law.

12. SHIPPING INFORMATION

Customers are responsible for providing a complete and accurate shipping address.

Addis Design is not responsible for:

• incorrect addresses provided by customers;

• missing apartment or unit numbers;

• incorrect ZIP codes;

• packages delivered to an address supplied by the customer;

• refused deliveries;

• packages returned because of customer address errors;

• delays caused by carriers;

• customs delays;

• weather conditions;

• natural disasters;

• labor disruptions;

• transportation interruptions;

• events outside our reasonable control.

Additional shipping or reproduction costs resulting from incorrect customer information may be charged to the customer.

13. SHIPPING AND DELIVERY ESTIMATES

Any delivery timeframe displayed on the website, application, product page, advertisement, email, or order confirmation is an estimate only unless specifically stated otherwise.

For example, a reference to delivery within approximately 5–7 business days is an estimated delivery period and not a guaranteed delivery date.

Production and delivery may be affected by:

• order volume;

• customization;

• printing schedules;

• carrier availability;

• weekends;

• holidays;

• weather;

• location;

• customs;

• inventory;

• fulfillment delays.

Addis Design and AddisSolutions LLC are not liable for losses arising solely from reasonable shipping or carrier delays.

14. LOST OR STOLEN PACKAGES

Once a shipment is transferred to a shipping carrier, certain aspects of delivery are outside our direct control.

Where tracking indicates a package has been delivered, the customer is responsible for securing the package from the delivery location.

Addis Design is not responsible for theft occurring after confirmed delivery.

Where a shipment appears lost in transit, we may assist the customer in contacting the shipping carrier or filing a carrier claim where appropriate.

15. PRICES

All prices are displayed in the currency indicated on the website or application.

Prices may change without notice.

We reserve the right to:

• change pricing;

• offer promotions;

• discontinue promotions;

• correct pricing errors;

• cancel orders affected by obvious pricing errors.

Applicable taxes, shipping charges, customs charges, duties, or fees may be added where appropriate.

16. TAXES, DUTIES, AND IMPORT CHARGES

Customers are responsible for any applicable:

• sales taxes;

• VAT;

• import taxes;

• customs duties;

• brokerage fees;

• government fees;

unless Addis Design expressly states that those amounts are included.

International customers are responsible for understanding applicable import rules in their country.

17. PAYMENT PROCESSING

Payments may be processed by third-party providers such as:

• Stripe;

• PayPal;

• Apple Pay;

• Google Pay;

• banking providers;

• credit card processors;

• other payment platforms.

Addis Design and AddisSolutions LLC do not necessarily directly store complete payment-card information.

Payment processing may be governed by additional terms imposed by the payment provider.

We are not responsible for:

• payment processor outages;

• bank declines;

• card authorization failures;

• payment provider errors;

• unauthorized actions caused by circumstances outside our reasonable control.

18. CHARGEBACKS AND PAYMENT DISPUTES

Customers agree to contact Addis Design before initiating an unnecessary payment dispute or chargeback where the issue can reasonably be addressed directly.

Initiating a chargeback does not automatically cancel the customer’s obligations under these Terms.

For final-sale products, a customer’s disagreement with a clearly disclosed final-sale policy does not itself establish that a transaction was unauthorized or fraudulent.

We reserve the right to provide:

• order records;

• checkout acceptance records;

• payment confirmations;

• shipping confirmations;

• tracking information;

• product information;

• communications;

• proof of acceptance of these Terms;

to payment processors, financial institutions, or dispute-resolution providers when responding to a payment dispute.

Nothing in this section restricts a consumer from exercising lawful credit-card or payment-dispute rights.

19. PRODUCT AVAILABILITY

Products may become unavailable before or after an order is placed.

If we cannot fulfill an order because of circumstances within our control, we may:

• cancel the affected item;

• offer an alternative;

• issue appropriate credit;

• issue a refund for the unavailable item where necessary.

This is separate from the customer’s voluntary cancellation of a final-sale order.

20. ARTWORK AND CULTURAL DESIGNS

Many Addis Design products may include artwork inspired by:

• Ethiopian culture;

• Eritrean culture;

• Habesha traditions;

• Ethiopian Orthodox heritage;

• historic symbols;

• cultural patterns;

• Ethiopian crosses;

• Ge’ez writing;

• Amharic writing;

• traditional imagery.

Descriptions are provided for informational and commercial purposes.

Unless expressly stated otherwise, Addis Design does not claim to officially represent:

• a religious organization;

• a government;

• a church;

• an ethnic organization;

• a cultural institution.

Interpretations of cultural or religious symbolism may vary.

21. INTELLECTUAL PROPERTY

Unless otherwise indicated, website content and original materials appearing on AddisDesign.com are owned, licensed, or lawfully used by Addis Design, AddisSolutions LLC, or respective rights holders.

This may include:

• logos;

• designs;

• photographs;

• graphics;

• artwork;

• product mockups;

• software;

22. USER-SUBMITTED CONTENT

Customers may be permitted to upload:

• artwork;

• logos;

• names;

• text;

• graphics;

• personalized messages;

• files.

By submitting content, you represent that:

1. you own the content or have permission to use it;

2. the content does not infringe copyrights, trademarks, publicity rights, privacy rights, or other rights;

3. we may use the submitted content as reasonably necessary to produce and fulfill your order.

You grant Addis Design and its production providers a limited license to reproduce, process, modify, resize, print, store, transmit, and otherwise use the submitted material as necessary to complete the requested service.

23. PROHIBITED USER CONTENT

You may not submit content that is:

• illegal;

• fraudulent;

• defamatory;

• knowingly infringing;

• threatening;

• malicious;

• obscene where prohibited by law;

• designed to impersonate another person;

• intended to violate intellectual-property rights.

We may reject or cancel an order containing prohibited content.

24. COPYRIGHT CLAIMS

If you believe material displayed on AddisDesign.com infringes intellectual-property rights, please contact us with sufficient information to identify:

• the copyrighted work;

• the allegedly infringing content;

• the URL or product;

• your contact information;

• evidence of ownership or authorization.

We reserve the right to remove disputed material while reviewing a complaint.

25. THIRD-PARTY ARTISTS AND SUPPLIERS

Certain products may be:

• designed by independent artists;

• manufactured by third parties;

• printed by fulfillment partners;

• shipped by independent carriers;

• supplied by outside vendors.

Where appropriate, intellectual-property rights may belong to the respective creator.

Addis Design may rely on third parties for manufacturing and fulfillment.

We are not responsible for independent acts of third parties beyond the extent required by applicable law.

26. FUTURE MARKETPLACE OR THIRD-PARTY SELLERS

Addis Design may permit independent sellers or artists to offer products through the platform.

Unless Addis Design specifically states otherwise, independent sellers may be responsible for their own:

• product descriptions;

• intellectual-property rights;

• legal compliance;

• product quality;

• fulfillment obligations.

Additional seller-specific terms may apply.

27. WEBSITE AND APPLICATION AVAILABILITY

We do not guarantee that the website or application will operate continuously or without error.

Services may occasionally be unavailable due to:

• maintenance;

• software updates;

• hosting issues;

• security incidents;

• technical failures;

• third-party outages;

• events beyond our control.

We may suspend access temporarily or permanently where reasonably necessary.

28. ACCOUNT SECURITY

You represent that your submission is truthful and that you have the right to submit it.

We may remove reviews that contain:

• threats;

• unrelated advertising;

• personal confidential information;

• fraudulent information.

We do not guarantee that every review will be published.

31. PROMOTIONAL PHOTOGRAPHY

Customers may voluntarily submit photographs of purchased products displayed in homes, offices, restaurants, churches, or other locations.

Where permission is provided, Addis Design may use such photographs for:

• website galleries;

• social media;

• advertising;

• product pages;

• promotional campaigns.

Additional permission may be requested where appropriate.

32. THIRD-PARTY LINKS

Such links may include:

• every product will exactly match a screen preview;

• the website will always be available;

• every delivery estimate will be met;

• every third-party service will operate without interruption;

• all website information will always be free of typographical errors.

Nothing in this section excludes warranties that cannot lawfully be disclaimed.

34. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Addis Design, AddisSolutions LLC, and their respective owners, managers, officers, employees, contractors, affiliates, service providers, suppliers, fulfillment partners, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the website, application, products, or services.

This includes, where legally permissible, loss associated with:

• lost profits;

• lost opportunities;

• loss of data;

• business interruption;

• delayed deliveries;

• display differences;

• third-party service failures;

• customer-provided errors.

Where liability cannot legally be excluded, the aggregate liability of Addis Design and AddisSolutions LLC related to a specific transaction will, to the fullest extent permitted by law, be limited to the amount actually paid by the customer for the product giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion is prohibited by law.

35. PERSONAL INJURY AND INSTALLATION

Customers are responsible for properly installing and securing wall art.

Large framed, canvas, acrylic, metal, glass, or other wall-mounted products may require professional installation.

Addis Design does not provide structural or installation advice unless specifically contracted to do so.

Customers are responsible for:

• selecting appropriate mounting hardware;

• evaluating wall construction;

• checking product weight;

• ensuring safe installation;

• keeping products away from unsafe locations.

To the extent permitted by law, Addis Design and AddisSolutions LLC are not responsible for injuries or property damage caused by incorrect installation, improper mounting, misuse, modification, or failure to follow applicable safety practices.

36. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Addis Design, AddisSolutions LLC, their owners, officers, employees, contractors, affiliates, partners, and service providers from claims, liabilities, damages, losses, costs, or reasonable legal expenses arising from:

• your violation of these Terms;

• your misuse of the website or application;

• content you submit;

• intellectual-property claims involving material you provided;

• fraudulent transactions;

• unlawful activity;

• your violation of another person’s rights.

37. FORCE MAJEURE

Addis Design and AddisSolutions LLC will not be responsible for delays or failures caused by circumstances reasonably beyond our control, including:

42. TERMINATION

• repeated chargeback abuse;

• security threats;

• unlawful activity;

• violations of these Terms.

Termination does not eliminate obligations related to transactions already completed.

43. GOVERNING LAW

Unless mandatory consumer law requires otherwise, these Terms shall be governed by the laws of the State of Maryland, United States, without regard to conflict-of-law principles.

44. DISPUTE RESOLUTION

Before initiating formal legal proceedings, you agree to make a reasonable effort to contact Addis Design and attempt to resolve the dispute directly.

Nothing in this section prevents either party from exercising rights that cannot legally be restricted.

Where permitted by law, disputes arising from these Terms or purchases made through Addis Design shall be brought in an appropriate court located in Maryland unless the parties otherwise agree or applicable consumer law requires another forum.

45. CLASS OR REPRESENTATIVE CLAIMS

To the extent permitted by applicable law, disputes should be resolved on an individual basis rather than through representative or class proceedings.

This provision will not apply where applicable law makes such a limitation unenforceable.

46. SEVERABILITY

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary while the remaining Terms remain in effect.

47. NO WAIVER

Failure by Addis Design or AddisSolutions LLC to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

48. ASSIGNMENT

Customers may not assign their obligations under these Terms without our consent.

Addis Design and AddisSolutions LLC may assign or transfer their rights and obligations in connection with a merger, restructuring, acquisition, asset transfer, corporate reorganization, or other lawful business transaction.

49. CHANGES TO THESE TERMS

We may update these Terms periodically.

The updated version will be posted with a revised Effective Date.

Changes will generally apply prospectively unless applicable law permits otherwise.

Continued use of the website or application after updated Terms become effective constitutes acceptance of those Terms where legally permissible.

50. ENTIRE AGREEMENT

These Terms, together with applicable:

• Privacy Policy;

• Shipping Policy;

• Return and Refund Policy;

• product-specific terms;

• checkout disclosures;

constitute the agreement between you and Addis Design concerning your use of the services and purchases, except where another written agreement expressly applies.

51. FINAL SALE ACKNOWLEDGMENT

Before purchasing wall art, customers should specifically acknowledge the following:

I understand and agree that all wall art sales are final. Orders submitted through AddisDesign.com, the Addis Design mobile application, or another authorized Addis Design ordering system are non-refundable and generally cannot be canceled, returned, or exchanged after submission, except where required by applicable law or where Addis Design determines that a verified fulfillment error requires corrective action. I have reviewed my selected artwork, size, options, personalization, quantity, shipping address, and order information before submitting my purchase.
